Personnel Availability and Participation

Requires designated client personnel to participate in project activities, including meetings, workshops, training sessions, and testing activities. Client personnel should have appropriate authority and knowledge to make decisions and provide input necessary for project success.

Decision Making and Approval Processes

Must be clearly defined and adhered to throughout the engagement. Clients are responsible for providing timely decisions and approvals necessary to maintain project momentum and meet established timelines.

Testing and Validation Activities

Require client participation to ensure that delivered solutions meet requirements and function as expected. Clients must allocate appropriate resources for testing activities and provide timely feedback on system functionality and performance.

Payment Terms and Billing

Professional services fees are based on the scope and complexity of each engagement as outlined in applicable service agreements. Fee structures may include fixed project fees, time and materials billing, or retainer arrangements depending on the nature of the engagement and client preferences.

Payment terms typically require payment within thirty days of invoice date unless otherwise specified in the service agreement. Late payments may be subject to interest charges and collection costs as permitted by applicable law. We reserve the right to suspend services for accounts that become significantly past due.

Expense reimbursement covers reasonable and necessary expenses incurred in connection with service delivery, including travel, lodging, meals, and other direct project costs. Expenses are billed at cost with appropriate documentation and are subject to any limitations specified in the service agreement.

Billing disputes must be raised within thirty days of invoice date to be considered for adjustment. We will work in good faith to resolve billing disputes promptly and fairly while maintaining accurate records of all billing and payment activities.

Tax obligations and compliance are the responsibility of each party according to applicable law. Clients are responsible for any applicable taxes on services provided, including sales tax, use tax, or value-added tax as required by jurisdiction.

Intellectual Property Rights

Pre-existing intellectual property rights are retained by their respective owners. AssistNow retains ownership of our proprietary methodologies, frameworks, tools, and other intellectual property developed prior to or independently of client engagements.

Work product and deliverables created specifically for clients under service agreements are typically owned by the client upon full payment of applicable fees. However, AssistNow retains the right to use general knowledge, skills, and experience gained during engagements for the benefit of other clients.

Confidential information and trade secrets are protected under separate confidentiality agreements and non-disclosure obligations. Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement.

Third-party intellectual property used in service delivery is subject to applicable license terms and restrictions. We ensure that any third-party intellectual property is properly licensed and that clients receive appropriate usage rights as part of service delivery.

Confidentiality and Data Protection

Confidentiality obligations are fundamental to our client relationships and are addressed through comprehensive confidentiality agreements and data protection measures. Limitation of Liability and Disclaimers

Professional services are provided on an "as is" basis without warranties of any kind, whether express or implied. While we strive to provide high-quality services and accurate information, we cannot guarantee specific outcomes or results from our consulting services.

Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. This limitation applies regardless of the theory of liability, whether based on contract, tort, negligence, or other legal theory.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Professional judgment and recommendations are based on our experience and expertise but are subject to the inherent uncertainties and complexities of organizational change and technology implementation. Clients are responsible for making their own decisions regarding the implementation of our recommendations.

Indemnification

Client indemnification obligations require clients to indemnify and hold harmless AssistNow from any claims, damages, or expenses arising from the client's use of our services, violation of these terms, or infringement of third-party rights in connection with the engagement.

Mutual indemnification may apply to certain situations where both parties agree to protect each other from specific types of claims or liabilities as outlined in the service agreement.

Defense obligations include the right and obligation to defend against covered claims using counsel of our choice, subject to the indemnifying party's approval and cooperation in the defense.

Termination and Suspension

Termination rights allow either party to terminate service agreements under certain circumstances as specified in the applicable agreement. Termination may be for cause, such as material breach of contract, or for convenience with appropriate notice.

Notice requirements for termination vary depending on the type of engagement and the reason for termination. We typically require written notice and an opportunity to cure any alleged breaches before termination becomes effective.

Effect of termination includes the immediate cessation of services, return or destruction of confidential information, and payment of fees for services performed prior to termination. Certain obligations, such as confidentiality and limitation of liability, survive termination.

Work product and deliverables completed prior to termination are typically delivered to the client upon payment of applicable fees, subject to any intellectual property rights or confidentiality obligations.

Suspension of services may occur in cases of non-payment, breach of contract, or other circumstances that make continued service delivery inadvisable or impractical.

Governing Law and Dispute Resolution

These terms are governed by the laws of the jurisdiction where AssistNow is headquartered, without regard to conflict of law principles. Any disputes arising from or related to these terms or our services shall be resolved through the dispute resolution procedures outlined below.

Negotiation and mediation are the preferred methods for resolving disputes, with both parties agreeing to engage in good faith negotiations before pursuing formal legal proceedings. If negotiation is unsuccessful, disputes may be submitted to mediation with a mutually agreed mediator.

Arbitration may be required for certain types of disputes as specified in service agreements, with arbitration proceedings conducted according to the rules of a recognized arbitration organization.

Jurisdiction and venue for any legal proceedings are established in the courts of the jurisdiction where AssistNow is headquartered, and both parties consent to the personal jurisdiction of such courts.

Modifications and Updates

These Terms of Service may be updated periodically to reflect changes in our practices, legal requirements, or other factors. Material changes will be communicated through prominent notice on our website or direct communication to affected users and clients.
